The Annual General Meeting of the Gabriola Land & Trails Trust will be held on March 10th, 2-4 pm, at the Gabriola Golf & Country Club. Doors open at 1:30.
Between 1:30 and 2:00 you’ll be able to sign up for an annual or monthly membership if you have never done so, or renew your membership if it has expired.

SPECIAL RESOLUTIONS
After a thorough review of our Constitution and Bylaws, the GaLTT Board will be recommending that a number of amendments be made.
SPECIAL RESOLUTION – Amendments to Bylaws
WHEREAS the Bylaws of Gabriola Land and Trails Trust specify that a Special Resolution requires the approval of not less than 75% of the votes cast by the members of the Society entitled to vote at the meeting; and
WHEREAS the Board of Directors of the Gabriola Land and Trails Trust has considered the wording of the Bylaws of the Society and recommends amendments to the wording of the Bylaws; and,
WHEREAS the Board requires ratification of this proposal through a special resolution.
THEREFORE BE IT RESOLVED that the Bylaws of the Society be amended as follows.
Under Part 2—Memberships
That Section 2, clause (3) of the Bylaws be amended to read:
(3) Honorary Members: These members include those persons who have rendered extraordinary service to the Society, and who have been offered honorary membership by the Board and who have accepted such offer. They will have full voting rights.
CHANGE: addition of “They will have full voting rights.”

That Section 6, clause (4) of the Bylaws be amended to read:
6. A person shall cease to be a member of the Society
(1) By delivering their resignation in writing to the secretary of the Society or by mailing or delivering it to the address of the Society;
(2) On their death or in the case of a corporation on dissolution;
(3) On being expelled; or
(4) On having been a member not in good standing for six consecutive months one month.
CHANGE: replace “6 consecutive months” with “one month”.

That Section 8 of the Bylaws be amended to read:
8. A member who has failed to pay their current annual membership fee or any other subscription or debt due and owing by them to the Society is not in good standing and loses the rights and privileges of being a member in good standing after one month.
CHANGE: delete “current annual” and “after one month.”
OTHER MEMBERSHIP DOCUMENTS
Members will be emailed a link to the detailed financial reports that will be presented at the AGM, along with short bios of candidates standing for election and the draft minutes of the previous AGM.
ANNUAL NEWSLETTER
We’re trying something different this year! The background slideshow at our AGM will have photos of what we were up to in 2023, and after that meeting we’ll export it as a video that you’ll be able to view online. Because the slideshow will be available, we have a lot fewer photos in our annual newsletter (click the link to download it).
